General Terms and Conditions of Sale

1) FORMATION OF THE CONTRACT

These general terms and conditions of sale apply to any present and future contract and sale/service activity addressed to the Buyer. Ecoclima srl reserves the right to agree with the Buyer on other specific conditions expressly indicated in the offer or in the order confirmation. By submitting an order the Buyer accepts Ecoclima srl’s general terms and conditions of sale; Ecoclima srl is in any case not subject to any contractual terms or conditions proposed by the Buyer. Any terms or conditions derogating from or supplementing these general terms will be valid only if expressly accepted by Ecoclima srl in the order confirmation.

2) ORDER

The Buyer’s orders must be issued in writing and are subject to the approval of Ecoclima srl. A contract is considered validly concluded, in a binding manner for the parties, when orders are accepted in writing by Ecoclima srl with an “Order Confirmation” sent to the Buyer.

3) PRICES

Prices are net of VAT and any other tax; they are agreed ex-warehouse of the seller. Transport costs will be charged in the invoice unless otherwise agreed. Ecoclima srl reserves the right to adjust the agreed prices in case of increases in raw material costs, without prejudice to the Buyer’s right to withdraw from the contract.

4) PAYMENT

Unless otherwise indicated in the order confirmations or in the invoices issued by Ecoclima Srl, all invoices must be paid within the terms indicated in the invoice. Late payment interest applies pursuant to Italian D.L. 231/2002 and D.L. 192/2012.

5) SHIPPING

Goods are shipped at the recipient’s risk, even when sold carriage-paid. Any complaint must be sent by certified mail or registered letter within eight days of receipt of the goods.

6) DELIVERY TERMS

Delivery dates are indicative and non-binding. Delay in delivery does not entitle the buyer to damages, contract termination or payment delays.

7) RETURNS

Returned goods are not accepted. Any return must be pre-authorized in writing by Ecoclima and, if accepted, shipped free at our Curtarolo (PD) office; a 20% depreciation will be applied.

8) WARRANTY

Products are guaranteed against manufacturing defects for 12 months from delivery. Warranty is limited to repair or replacement and does not extend to damage caused by improper installation, wiring, modifications, tampering, or removed identification labels.

9) RETENTION OF TITLE

Ecoclima srl retains title to the products delivered to its customers until full payment of the agreed price is received.

10) DISPUTES

The Court of Padua (Italy) shall have exclusive jurisdiction over any dispute arising from this contract.
